Cargo Convoy Inc. – Summary of Terms & Conditions

By submitting this credit application, the undersigned (“Customer”) agrees to the following key terms governing business with Cargo Convoy Inc.

Role: Cargo Convoy Inc. acts solely as a licensed freight broker, arranging transportation through third-party carriers. We are not a motor carrier.
Payment Terms: All invoices are due within 30 days. Late payments may incur interest and collection fees. Quotes are subject to change based on carrier availability.
Liability: Cargo Convoy is not liable for shipment loss, delay, or damage. Claims must be filed directly with the carrier within 9 months. Our liability is limited to the brokerage fee earned for the shipment.
Credit Risk: Credit terms are granted at Cargo Convoy’s discretion. The customer remains responsible for payment, even if a consignee or third party fails to pay.
Shipment Accuracy: Customers must ensure shipment details (weight, classification, hazardous goods, etc.) are accurate. Incorrect data may result in adjusted charges.
Cancellation & Delays: Last-minute cancellations or delays may result in accessorial charges including TONU, layovers, or detention.
Non-Circumvention: Customers agree not to directly engage any carrier introduced by Cargo Convoy for 12 months. Violation incurs a 25% penalty on related business.
Platform Use: Any digital tracking tools or shipment data provided by Cargo Convoy are for convenience only and not guaranteed to be accurate or real-time.
Dispute Resolution: Parties agree to attempt resolution through mutual negotiation and mediation prior to legal action. Jurisdiction is Pennsylvania, USA.
